Terms of Use

These Terms of Use (the "Terms") form a binding agreement between DoneCast Inc., doing business as DoneCast ("we," "us," or "our"), and you ("you" or "user"). By accessing or using donecast.com (and related apps/subdomains) and any related apps, products, and services (collectively, the "Service"), you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

Important notes

  • If you are accepting on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
  • The Service is intended for users 13 years of age or older. If you are under 18 (or the age of majority in your jurisdiction), you may use the Service only with consent and supervision of a parent or guardian. Note: Participation in Monetization features (Section 3) requires you to be at least 18 years of age.

1) Your Account & Security

  • You must provide accurate account information and keep it updated.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
  • Notify us immediately of any unauthorized use of your account.
  • "Human" Requirement: Accounts registered by "bots" or other automated methods are not permitted.

2) Subscriptions, Billing & Processing Credits

Some features are offered via paid subscriptions or usage-based plans ("Plans"). Plan details, prices, and inclusions are shown at checkout or in your account.

2.1 Billing. You authorize us (and our payment processors) to charge your payment method for all fees, taxes, and recurring amounts per your Plan. Unless stated otherwise, fees are non-refundable and prepaid for the applicable term.

2.2 Processing Credits. Certain features (e.g., transcription, AI processing, audio effects) consume processing credits or similar units. Processing credits are deducted once a job begins and are not returned if you later delete the job or its outputs. If we determine that a job failed due to a Service error, we may, at our discretion, restore the affected credits or re-run the job at no additional cost. We do not restore credits for user errors, incompatible source files, content policy violations, or third-party failures outside our reasonable control.

2.3 Changes to Plans and Pricing. We may modify Plans, features, or pricing with prior notice as required by law. Changes will apply after your current term unless otherwise stated.

2.4 Cancellation. You may cancel at any time in your account settings. Your access remains through the end of your current billing period. No refunds for partial periods unless required by law.

3) Monetization & Revenue Program (New)

If you opt-in to DoneCast's monetization features (e.g., Dynamic Ad Insertion or programmatic advertising), the following terms apply:

3.1 Net Revenue Share. We will pay you a percentage of "Net Revenue" generated by ads served in your content, as specified in your account dashboard. "Net Revenue" is defined as the gross revenue actually received by DoneCast from advertisers, minus applicable taxes, agency commissions, third-party serving fees, payment processing fees (e.g., Stripe/PayPal), and deductions for bad debt or chargebacks.

3.2 Payouts. Revenue is calculated based on our system of record. Payouts are issued on a monthly or quarterly basis, as specified in your account dashboard, provided your balance exceeds the minimum threshold of $10 USD. You are responsible for all taxes associated with your receipt of revenue.

3.3 Fraud & Clawbacks. We strictly prohibit invalid traffic (bots, click farms, or inflated play counts). If we detect fraudulent activity, we reserve the right to withhold payouts, ban your account, and deduct ("clawback") previously paid amounts from future earnings.

4) Acceptable Use

You agree not to:

  • Violate any law or infringe any third-party rights (e.g., copyright, trademark, privacy, publicity, contractual, or confidentiality rights).
  • Upload or process content that is unlawful, harassing, defamatory, obscene, exploitative, or otherwise objectionable.
  • Upload content containing Hate Speech (promoting violence or hatred against groups based on race, religion, gender, etc.) or Dangerous Misinformation (content promoting self-harm, false health claims, or financial scams).
  • Record or upload audio without all legally required consents (e.g., in two-party consent states).
  • Attempt to reverse engineer, decompile, or otherwise access the Service's source code except where permitted by law.
  • Attempt to manipulate, override, extract, or circumvent the instructions, behavior, or safety controls of any AI-powered feature (including but not limited to prompt injection, jailbreak attempts, instruction extraction, role manipulation, or attempts to cause the AI to disclose internal system information).
  • Interfere with or disrupt the Service, circumvent security or usage limits, or attempt unauthorized access to systems or data.
  • Use any scraping, data mining, or automated means not expressly permitted by us.
  • Upload Protected Health Information (PHI). DoneCast is not a HIPAA-compliant platform.

We may investigate and take appropriate action, including removing content, suspending or terminating accounts, and reporting unlawful activity to authorities.

5) Your Content & License to Us

5.1 You Own Your Content. Between you and us, you retain full ownership rights to the audio, transcripts, text, images, RSS feeds, and other content you submit ("User Content").

5.2 License to DoneCast. You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transcode, analyze, modify (solely as necessary to provide the Service, such as inserting ads you have opted into), and display User Content to you and those you authorize, for the purpose of operating, improving, and supporting the Service. This license also allows us to generate and store derivative technical data (e.g., transcripts, embeddings, logs) needed to provide features to you.

5.3 Marketing & Publicity Rights. You grant us a limited, non-exclusive right to use your podcast name, cover art, and logos for the purpose of promoting the DoneCast Service (e.g., in "Featured Podcast" sections or case studies). Opt-Out: You may revoke this marketing right at any time by emailing legal@donecast.com.

5.4 Deletion. You may delete User Content from within the product where supported. Backups and logs may persist for a limited time consistent with our retention practices.

6) AI & Third-Party Services

The Service may leverage AI models and third-party providers (e.g., hosting, transcription, text-to-speech, analytics, podcast distribution). Third-party services are subject to their own terms and privacy policies and we are not responsible for their actions, uptime, or outputs.

AI Limitations. AI outputs can be inaccurate, incomplete, or inappropriate. You are responsible for reviewing outputs before publishing and for complying with applicable laws (including disclosures for AI-generated content where required).

7) Intellectual Property

The Service (including software, designs, interfaces, and documentation) and all related IP are owned by us and our licensors. Except for the limited rights expressly granted, we reserve all rights. You may provide feedback or suggestions; you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction.

8) Copyright & DMCA

If you believe content on the Service infringes your copyright, you may submit a notice under the Digital Millennium Copyright Act (DMCA) to our agent:

Your notice must include the information required by 17 U.S.C. Section 512(c)(3). We may notify the user who posted the material and provide a process for counter-notification where applicable. Repeat Infringer Policy: We will terminate accounts of users determined to be repeat infringers.

9) Privacy & Data Protection Roles

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and share information.

9.1 Data Roles (GDPR/CCPA). To the extent the Service processes personal data subject to the GDPR or CCPA:

  • DoneCast as Controller: We act as the Data Controller for your Account Data (e.g., your billing details, login email).
  • DoneCast as Processor: With respect to Listener Data (e.g., IP addresses processed for analytics) and content within your audio files, DoneCast acts as a Data Processor on your behalf. You are the Data Controller and represent that you have the appropriate legal basis to collect such data.

10) Disclaimers

THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS.

11) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR $100 IF YOU HAVE NOT PAID ANY AMOUNTS. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL.

Some jurisdictions do not allow certain limitations; in those cases, these limitations apply only to the extent permitted by law.

12) Indemnification

You will indemnify and hold us harmless from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your User Content; (b) your use of the Service; (c) your violation of these Terms; or (d) your violation of any law or third-party rights.

13) Termination & Portability

13.1 Termination. You may stop using the Service at any time. We may suspend or terminate your access immediately if you violate these Terms, create risk or possible legal exposure, fail to pay fees when due, or if we stop offering the Service. Upon termination, your right to use the Service ends, but certain sections (including IP, disclaimers, limitations, indemnities, and dispute provisions) will survive.

13.2 Podcast Portability (301 Redirects). We support the open podcast ecosystem. Upon cancellation of your account, provided you are in good standing, you retain the right to request a 301 Permanent Redirect of your RSS feed to a new hosting provider. We will maintain this redirect for a minimum of 30 days following cancellation to allow your subscribers to migrate.

14) Governing Law; Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict of laws rules.

Arbitration & Class Action Waiver. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, as modified by these Terms. Arbitration will be conducted by a single arbitrator in Los Angeles County, California, or remotely by video conference if the arbitrator permits. You and we both waive any right to a jury trial and to participate in a class action, class arbitration, or representative proceeding.

Either party may bring an individual action in small claims court in Los Angeles County, California, instead of arbitration. This Section does not prevent either party from seeking injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property or prevent unauthorized use of the Service.

15) Export & Sanctions

You may not use or export the Service except as authorized by U.S. law and the laws of the jurisdiction(s) where the Service is provided. You represent you are not located in, under the control of, or a national/resident of any embargoed country or prohibited party list.

16) Communications

You consent to receive service-related communications electronically (e.g., emails, in-app messages). You may opt out of non-essential marketing emails.

SMS Notifications. By creating an account or using our services, you consent to receive transactional text messages from DoneCast related to your account activity. Message frequency may vary. Standard message and data rates may apply. You may opt out by replying STOP to any message or contacting us at legal@donecast.com.

17) Miscellaneous

If any provision is unenforceable, the remainder remains in effect. You may not assign these Terms without our prior written consent; we may assign them as part of a merger, acquisition, or sale of assets. These Terms (plus any referenced policies) are the entire agreement between you and us regarding the Service and supersede prior agreements.
